BrightCampus Terms of Service

Welcome to BrightCampus.

These Terms of Service (“Terms”) govern access to and use of the BrightCampus platform, websites, applications, services and related features (“BrightCampus”, the “Platform” or the “Services”).

By creating an account, subscribing to BrightCampus, accessing the Platform through a participating school, or otherwise using the Services, you agree to these Terms.

If you are accepting these Terms on behalf of a school, organisation or other institution, you confirm that you have authority to bind that institution to these Terms.

1. About BrightCampus

BrightCampus is a digital school-management and school-operations platform designed to help educational institutions manage and connect areas such as:

- student administration; - staff and teacher management; - academic classes and subjects; - attendance; - teaching assignments; - timetables; - assessments and results; - parent and guardian engagement; - fees and financial administration; - announcements and communication; - events and calendars; - library operations; - transport operations; - school health or medical records where enabled; - school websites and public content; - reporting and analytics; and - other school-management and educational services made available from time to time.

Features available to a particular school may depend on its subscription plan, configuration, jurisdiction and services enabled by the school.

2. Who May Use BrightCampus

BrightCampus may be used by authorised users associated with participating schools, including:

- school owners; - administrators; - principals and school leaders; - teachers and other staff; - students; - parents and guardians; - accountants; - librarians; - health personnel; - transport personnel; and - other persons authorised by a participating institution.

Some users, particularly children, may access BrightCampus through accounts established, approved or managed by their school and/or parent or guardian, as applicable.

Users must provide accurate information and must not impersonate another person or access an account they are not authorised to use.

3. School Accounts and Institutional Responsibility

A school subscribing to BrightCampus is responsible for:

  1. ensuring that it has appropriate authority and lawful grounds to provide personal data to BrightCampus;
  2. determining which staff members and users should receive access;
  3. assigning appropriate roles and permissions;
  4. keeping institutional records accurate and up to date;
  5. maintaining appropriate internal policies governing use of the Platform;
  6. obtaining notices, permissions or consents required by applicable law where the school is responsible for doing so; and
  7. promptly removing or suspending access when a person is no longer authorised.

BrightCampus provides technical controls intended to support appropriate access, but each school remains responsible for the actions of users it authorises.

4. Accounts and Security

Users are responsible for protecting their login credentials.

You must:

- use your own authorised account; - keep passwords and authentication credentials confidential; - not share accounts unless BrightCampus expressly permits a shared-account workflow; - immediately report suspected unauthorised access; and - take reasonable precautions to protect devices used to access BrightCampus.

BrightCampus may temporarily restrict, suspend or require additional verification of an account where we reasonably suspect unauthorised access, security threats, fraud or misuse.

5. Role-Based Access

BrightCampus uses role-based and institution-scoped access controls.

Access may differ according to a user's school, role, class, subject, assignment, parent-child relationship or other authorised relationship.

For example:

- teachers may only access information relevant to their authorised teaching responsibilities; - parents and guardians may only access children properly linked to their accounts; - students may only access information made available to them; - school administrators may have broader institutional access according to permissions assigned by the school; and - one school must not access another school's private records.

Attempting to bypass these controls is prohibited.

6. Acceptable Use

You must not use BrightCampus to:

- gain unauthorised access to another person's account or information; - access another school's information without authority; - upload malware, malicious code or harmful content; - interfere with the operation or security of the Platform; - probe, scan or test vulnerabilities without written permission; - scrape or systematically extract information without authorisation; - use automated tools in a manner that materially burdens the Platform; - falsify academic, financial, attendance or administrative records; - harass, threaten or unlawfully discriminate against another person; - distribute unlawful, defamatory or infringing material; - violate another person's privacy; - reverse engineer or attempt to obtain proprietary source code except where applicable law expressly permits it; - resell or commercially exploit BrightCampus without authorisation; or - use the Platform for unlawful purposes.

7. School Data

As between BrightCampus and a subscribing school, the school retains its rights and responsibilities in relation to institutional data it provides or generates through the Platform, subject to applicable law and individual data-subject rights.

BrightCampus does not claim ownership of a school's confidential educational records merely because those records are stored or processed through BrightCampus.

BrightCampus may process school data only as necessary to:

- provide and maintain the Services; - follow authorised instructions; - secure the Platform; - provide support; - comply with applicable law; - prevent misuse and fraud; and - perform other processing disclosed in applicable agreements or privacy notices.

8. Student and Children's Data

BrightCampus recognises that information concerning children requires particular care.

Schools and other responsible parties must ensure that collection and use of children's information through BrightCampus has an appropriate lawful basis and that any notices, parental or guardian authorisations, consents or other safeguards required by applicable law have been addressed.

BrightCampus will not knowingly use student information for behavioural advertising.

BrightCampus will not sell student personal data.

Access to student information must be limited to authorised purposes and authorised users.

9. Academic Records and Results

BrightCampus may facilitate the recording, calculation, review, approval, publication and storage of assessments and academic results.

The relevant educational institution remains responsible for determining:

- assessment policies; - grading rules; - score accuracy; - result approval; - promotion decisions; - official transcripts and certificates; and - corrections to institutional academic records.

Unless expressly agreed otherwise, BrightCampus provides the technology through which such processes are performed and is not the academic authority responsible for determining a student's official academic outcome.

10. Fees and Financial Information

Where financial-management features are enabled, BrightCampus may help schools record fees, invoices, payments, balances and related information.

Unless BrightCampus expressly provides a regulated payment service through an authorised payment provider, BrightCampus is not a bank and does not itself hold customer funds.

Schools remain responsible for confirming the accuracy of their financial records and complying with applicable accounting, tax and financial obligations.

Third-party payment services may be subject to separate terms.

11. Medical and Sensitive Information

Where a school enables health, medical, disability, emergency or other sensitive-information features, access must be limited to appropriately authorised personnel.

Schools are responsible for determining what information should be recorded and who should have access to it.

BrightCampus will apply appropriate technical and organisational safeguards to sensitive information processed through supported features.

BrightCampus is not a healthcare provider and the Platform is not a substitute for professional medical advice, diagnosis or emergency medical services.

12. School Websites and Public Content

BrightCampus may enable schools to operate public-facing websites.

Schools are responsible for content they choose to publish publicly, including:

- photographs; - news; - announcements; - staff profiles; - student achievements; - event information; - galleries; and - admissions information.

Schools must ensure they have appropriate rights and permissions before publishing personal information, photographs, copyrighted materials or other content.

BrightCampus may remove or restrict content that is unlawful, harmful, infringing or inconsistent with these Terms.

13. Subscription Plans

BrightCampus may offer subscription plans including Core, Standard, Premium, Enterprise or other plans introduced from time to time.

Features, usage allowances, support levels and pricing may vary by plan.

Commercial terms applicable to a particular school may be stated in its order form, subscription agreement, invoice or other written agreement with BrightCampus.

14. Fees, Billing and Taxes

Where a subscription is paid:

- charges will be disclosed before purchase or agreed with the institution; - the institution is responsible for applicable taxes unless otherwise stated; - subscriptions may renew according to the agreed billing arrangement; and - failure to pay amounts when due may result in restricted access or suspension after appropriate notice.

BrightCampus will not intentionally remove a school's data solely because a payment becomes overdue without applying the applicable retention, suspension and termination procedures.

15. Trials and Demonstrations

BrightCampus may provide demonstrations, pilot programmes, beta services or trial accounts.

Such services may have limited features, usage restrictions or temporary availability.

Beta or preview functionality may change or be discontinued and should not be relied upon for critical operations unless BrightCampus expressly states that it is production-ready.

16. Third-Party Services

BrightCampus may integrate with third-party providers for services such as:

- cloud infrastructure; - database hosting; - file storage; - email delivery; - payment processing; - analytics; - authentication; - domain services; and - other integrations.

Third-party services may be governed by their own terms and privacy practices.

BrightCampus will seek to use reputable service providers and apply appropriate contractual and security safeguards where those providers process personal data on our behalf.

17. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation.

The Platform may occasionally be unavailable because of:

- maintenance; - upgrades; - internet or infrastructure failures; - security incidents; - third-party service failures; - emergencies; or - circumstances outside our reasonable control.

Where reasonably practicable, planned maintenance that materially affects schools will be communicated in advance.

18. Backups and Data Resilience

BrightCampus may maintain backup, recovery and resilience measures appropriate to the Services.

Schools should nevertheless maintain copies of legally or operationally critical records where their own policies or applicable regulations require independent retention.

19. Intellectual Property

BrightCampus and its licensors retain all rights in the Platform, including its:

- software; - source code; - design; - interface; - documentation; - branding; - trademarks; - graphics; and - proprietary technology.

These Terms grant users a limited, non-exclusive, non-transferable right to use BrightCampus for authorised purposes while access remains valid.

They do not transfer ownership of BrightCampus intellectual property.

20. Feedback

If you voluntarily provide suggestions or feedback about BrightCampus, we may use that feedback to improve the Services without an obligation to compensate you, provided doing so does not grant us ownership of your confidential information or personal data.

21. Suspension

We may suspend access where reasonably necessary because of:

- a serious security threat; - unlawful activity; - material violation of these Terms; - unauthorised access; - non-payment under an applicable commercial agreement; or - a legal or regulatory requirement.

Where appropriate and legally permissible, we will provide notice and an opportunity to resolve the issue.

22. Termination

A school may terminate its BrightCampus subscription in accordance with its applicable commercial agreement.

Following termination:

- active access may end; - authorised data export may be made available where applicable; - data may be retained temporarily for legitimate legal, security, backup or transition purposes; and - information will subsequently be deleted, anonymised or retained where required by law or another valid lawful basis.

Detailed arrangements may be governed by a separate subscription or data-processing agreement.

23. Privacy

Use of BrightCampus is also governed by the BrightCampus Privacy Policy.

Where BrightCampus processes personal data on behalf of a school, additional data-processing terms may apply.

24. Changes to the Services

BrightCampus will continue to evolve.

We may add, modify or retire functionality to improve security, usability, compliance or product capabilities.

We will seek to provide reasonable notice before making changes that materially reduce paid core functionality during an active subscription period, except where immediate action is required for security, legal or technical reasons.

25. Disclaimer

BrightCampus is provided as a technology platform for educational institutions.

To the extent permitted by law, we do not guarantee that:

- every feature will always be uninterrupted; - every user-entered record will be accurate; - BrightCampus will satisfy every institution's legal or regulatory obligations without appropriate configuration and institutional processes; or - third-party services will always remain available.

Nothing in these Terms excludes rights or liabilities that cannot lawfully be excluded.

26. Limitation of Liability

To the extent permitted by applicable law, BrightCampus will not be liable for indirect, incidental, special or consequential losses arising from use of the Platform where such liability may lawfully be limited.

Any contractual liability cap applicable to a subscribing institution should be specified in its commercial agreement.

Nothing in these Terms is intended to exclude liability where exclusion is prohibited by law.

27. Indemnity

To the extent permitted by law, an institutional customer may be responsible for claims arising from its unlawful use of the Services, content it unlawfully publishes, or instructions it gives BrightCampus that violate applicable law or third-party rights.

This provision does not relieve BrightCampus of responsibility for its own obligations under applicable law.

28. Governing Law

Unless another jurisdiction is expressly agreed in writing, these Terms are governed by the laws of the Federal Republic of Nigeria.

Disputes should first be addressed through good-faith discussions between the parties before court or other formal proceedings are commenced, except where urgent relief or regulatory action is appropriate.

29. Changes to These Terms

We may update these Terms as BrightCampus evolves or legal requirements change.

Material changes will be communicated through appropriate means.

The effective date at the top of this document will indicate the current version.
